Alwayz Terms of Use

Thank you for visiting Alwayz. Please carefully read these Terms of Use ("Terms" or "Agreement") and our Privacy Policy located at https://www.alwayz.us/privacy-policy, which is incorporated into these Terms by this reference.
These Terms are a legal agreement between you and Alwayz and govern your access to and use of the Platform and the Services (as defined below).
The Alwayz Platform (defined below) facilitates the maintenance, repair and service of electric vehicle (EV) charging sites by enabling field service transactions between operators/owners of charging sites and EV charging sites service providers. Alwayz is not a party to any agreement between charging site operators and owners, on the one hand, and service providers on the other hand. However, any EV charging site operator or owner and service provider who use the Platform for the repair and service of EV chargers agrees to be a party the Subscription Agreement (defined below).
THE PLATFORM AND THE SERVICES ARE NOT INTENDED FOR THE USE OF CHILDREN UNDER 18 AND NO SUCH PERSON IS AUTHORIZED TO USE THEM. BY USING THE PLATFORM AND THE SERVICES, YOU ARE REPRESENTING THAT YOU ARE AT LEAST 18 YEARS OLD. YOU ALSO REPRESENT, BY ACCESSING OR USING THE SERVICES, THAT YOU ARE OF LEGAL AGE TO ENTER INTO LEGAL AGREEMENTS.
IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THIS AGREEMENT, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCEPT THIS AGREEMENT AND YOU MAY NOT USE THE SERVICES.
AUTO-RENEWAL NOTICE: SOME OF DIGITAL CLIENT'S SERVICES ARE SUBSCRIPTION-BASED AND AUTO-RENEWING ON A RECURRING BASIS. THIS MEANS THAT WE WILL BILL THE PAYMENT METHOD THAT YOU PROVIDE TO US UPON YOUR INITIAL PURCHASE AND ON A RECURRING BASIS AT THE BEGINNING OF EACH RENEWAL PERIOD. BY SIGNING UP FOR RECURRING SUBSCRIPTION PLANS, YOU AUTHORIZE RECURRING CHARGES TO YOUR PAYMENT METHOD. Please see other terms below in Section 4 ("Fees") regarding your subscription to the Services, including with regard to terminating your subscription.
1. Definitions
"Alwayz" means EV Hub, Inc., doing business as Alwayz, its parents, subsidiaries, affiliates, shareholders, directors, employees, authorized agents and consultants.
"Alwayz Platform" means the platform hosted on the Website, built and provided by Alwayz to facilitate the maintenance, repair and service of EV charging stations.
"Content" means, collectively, all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork and computer code in Services, but excluding User-generated content.
"Creative Materials" means the rights, title and interest in and to any artwork, designs, drawings, photographs, labels, logos, insignia, trademarks, trade dress, copyright, formulas and other creative materials that may be associated with EV Hub, Alwayz, and the Services.
"Data" means all information submitted to the Platform and the Website concerning EV charging stations and their components; EV charging station locations and operational status; services rendered and parts required to maintain and repair EV charging stations. Data does not include personally identifiable information regarding individuals or entities that subscribe to the Website and the Platform.
"Linked Sites" means any links from the Services to other independent third-party websites.
"Services"means, collectively, the Alwayz Platform, Alwayz's services and the Website.
"Submission" means any Data, feedback, comments or suggestions you may provide regarding or in connection with the Services either directly or indirectly (for example, through the use on a third-party social media site of a company-designated hashtag) as well as any profile picture, banner, biography or other images or content connected to your profile.
The terms "User" or "you" means Website visitors, users of the Alwayz Platform, and the individual accepting these Terms of Use on behalf of any legal entity.
"Website" means Alwayz's website at www.alwayz.us.
2. Proprietary Rights
2.1 In the Services
Unless otherwise noted, the Services and Content, including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained in the Services (excluding User-generated content) is owned, controlled or licensed by or to Alwayz and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights. Except as expressly provided in these Terms of Use, no part of the Services and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without Alwayz's express prior written consent.
Certain third-party software tools included in or with the Services may be open-source tools not provided by or warranted by Alwayz and to which any restrictions stated in these Terms of Use do not apply. In addition, certain open source components may be licensed to Alwayz under an open source license; such components are excluded from any licensing fee charged by Alwayz for any of its Services.
You acknowledge and agree that any Submission, including any Data, is non-confidential and non-proprietary, shall be treated as public information, may be shared with others on other sites and platforms and is submitted by you in compliance with these Terms of Use. Submissions that constitute feedback, comments or suggestions will be the sole and exclusive property of Alwayz and you hereby irrevocably assign to us all of your right, title and interest in and to all such Submissions, and Alwayz shall have an unrestricted, irrevocable, world-wide, royalty-free right to use, communicate, reproduce, publish, display, distribute and exploit such Submissions in any manner it chooses. With respect to all other Submissions, you hereby grant Alwayz an irrevocable, worldwide and perpetual license to use such Submissions as contemplated in these Terms of Use.
Your provision of a Submission constitutes a warranty and indemnity that you have sufficient license and/or other rights in the content to allow all desired use by Alwayz and that the information is submitted to Alwayz in compliance with all applicable laws.
You acknowledge and agree that all Data submitted to the Platform and the Website may be used by Alwayz for any purpose related to its business and compliance with any applicable laws and regulations.
3. Licenses
3.1 To the Alwayz Platform and Website
Alwayz hereby grants to User, for the term of User's subscription, a non-exclusive, non-transferable, non-sublicensable right and license to use the Alwayz Platform and the Website, subject to the terms of this Agreement. Alwayz reserves all rights, title, and interest in and to the Services, including all related intellectual property rights, subject to the limited rights expressly granted hereunder and the provisions related to open source components. You acknowledge and agree that the Platform and the Website are made available solely for the purpose of facilitating the repair, maintenance and service of EV charging stations and related activities.
You may not (and may not permit any third party to):
modify the Creative Materials in any way, including without limitation, the shapes, designs, drawings, attributes, or color schemes
use the Creative Materials to advertise, market, or sell any product or service;
grant any third-party the right to use through the Creative Materials;
use the Creative Materials in connection with images, videos, or other forms of media or content that depict or promote violence, hatred, sexual conduct, illicit drugs or anything else that could reasonably be found to constitute hate speech or otherwise infringe upon the rights of others
sell, distribute, or otherwise commercialize merchandise that depicts, embodies, contains, or consists of the Creative Materials
attempt to trademark, copyright, or otherwise acquire any intellectual property rights in the Creative Materials; or
otherwise use the Creative Materials for your or any third party's commercial benefit. To the extent that the Creative Materials contain any intellectual property licensed from a third party, you will not have the right to use such third party intellectual property in any way except as incorporated in the Creative Materials (and subject to all of the restrictions set forth herein with respect to your use of the Creative Materials).
Alwayz may need to pass through additional terms and/or restrictions on your ability to use the Platform or the Website. To the extent that Alwayz informs you of such additional restrictions in writing (email is permissible), you will be responsible for complying with all such restrictions from the date that you receive the notice, and that failure to do so will be deemed a breach of this Agreement.
The restrictions in this Section 3 will survive the expiration or termination of this Agreement.
The license granted to you hereunder shall automatically terminate and all rights shall return to Alwayz if at any time you terminate your registration and use of the Platform and the Website, your registration and use of the Platform and Website are terminated by Alwayz, or you violate any of these Terms of Use or the Privacy Policy.
4. Fees
4.1 For Platform Services
By subscribing to the Alwayz Platform, you agree to pay the associated subscription fees and any applicable taxes. You will be presented with the subscription options, the amount of the associated fees and whether the subscription is recurring prior to processing the transaction. Except as expressly set forth herein, all fees are non-cancelable and nonrefundable. Subscription fees are subject to change. If we change our rates, we will provide notice to you in advance of your renewal period and give you an opportunity to cancel.
Alwayz uses a third party not affiliated with us to process payments. You agree that the third party processor is solely responsible for controlling, handling, processing, or fulfilling purchases processed through its systems. You may be subject to additional terms of use and/or privacy policies of the third party processor when you purchase our Services.
As noted above, fees for some of our subscription plans are auto-renewing on a recurring basis. You hereby authorize recurring charges to the payment card that you provide to us. We will bill your payment card upon your initial purchase (or at the end of a free trial if applicable) and on a recurring basis at the beginning of your new renewal period. You agree that Alwayz will not be responsible for any expenses that you may incur resulting from overdrawing your bank account or exceeding your credit limit as a result of an automatic charge made under these Terms of Use. You are responsible for letting us know immediately if you suspect any unauthorized use of your credit card or login credentials.
If we cancel your subscription for a reason other than for cause (such as your breach of these Terms of Use), we will issue you a refund for your unused portion of your subscription.
From time to time we may offer free trials to, or introductory pricing for, the Services. These offers are available to you only if you have not previously been a subscriber to subscriber content. If you respond to a free trial or introductory pricing offer but do not qualify, we reserve the right to reject your order.
You agree to keep your account and payment information current at all times. To make changes to your payment or account information, please contact us at support@alwayz.us or make changes in your account settings.
4.2 For Transactions Between EV Charging Station Owners/Operators and Service Providers
By using the Alwayz Platform, you agree to pay all applicable subscription and other fees in accordance with the terms of your User Agreement. In addition, EV charging station owners and operators agree to pay the fees generated by service providers in connection with the repair and service of EV charging stations as provided in the Subscription Agreement. Failure to pay these fees as provided herein may, in Alwayz's sole discretion, result in the termination of your access to the Platform and the Website.
Transactions between EV charging station owners and operators, on the one hand, and service providers, on the other hand, are completed via third party payment service providers. Alwayz and the third-party payment providers are all independent parties.
5. Use of Services; Acceptable Use Policy
5.1
You agree to accurately maintain and update any information about yourself that you have provided to Alwayz. You also agree to immediately notify us of any unauthorized use of your username, password or any other breach of security that you become aware of involving or relating to the Services by emailing Alwayz at support@alwayz.us. In addition, you agree to keep confidential your username and password and to exit from your user account at the end of each session. Alwayz explicitly disclaims liability for any and all losses and damages arising from your failure to comply with this section. You may not use anyone else's account at any time.
5.2
You represent and warrant that: (a) your use of the Services will comply with all applicable international, federal, state, and local laws and regulations, and (b) you own or otherwise have and will have the necessary rights and consents in and relating to all Submissions.
5.3
In connection with your use of the Services, you agree that you will not:
post, upload, publish, submit or transmit any material that: (a) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (b) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (c) is fraudulent, false, misleading or deceptive; (d) is defamatory, obscene, pornographic, vulgar or offensive; (e) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (f) is violent or threatening or promotes violence or actions that are threatening to any other person; or (g) promotes illegal or harmful activities or substances;
interfere with or damage the Services, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
violate any local, state, provincial, national, or other law or regulation, or any order of a court;
"scrape," "crawl" or "spider" any web pages or other services contained in the Services, either directly or through the use of third-party services;
display, mirror or frame the Services, or any individual element within the Services, Alwayz's name, any Alwayz trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Alwayz's express written consent;
access, tamper with, or use non-public areas of the Services, Alwayz's computer systems and networks, the technical delivery systems of Alwayz's providers, hosting and data storage providers used by Alwayz, and databases used by Alwayz in connection with the Services;
attempt to probe, scan, or test the vulnerability of any Alwayz system or network or breach any security or authentication measures;
avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Alwayz or any of Alwayz's providers or any other third party (including another user) to protect the Services or any of the content on the Services;
attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services;
advocate, encourage, or assist any third party in doing any of the foregoing;
access or use the Services from a country sanctioned by the United States government;
use the Services to carry out any financial activities subject to registration or licensing, including but not limited to creating, listing, selling or buying securities, commodities, options, real estate, or debt instruments.
5.4
Any conduct that in our discretion restricts or inhibits any other user from using or enjoying the Services is expressly prohibited.
5.5
Alwayz reserves the right, at any time, without notice: (a) to modify, suspend or terminate operation of or access to the Services, or any portion of the Services at any time; (b) to modify or change the Services, or any portion of the Services, and any applicable policies or terms; and (c) to interrupt the operation of the Services, or any portion of the Services, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
6. Copyright Policy
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;
- description of the copyrighted work that you claim has been infringed;
- description of the material that you claim is infringing and where it is located on the Services;
- identification of the URL or other specific location on the Services where the material that you claim is infringing is located;
- your address, telephone number, and email address;
- statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
7. Term; Suspension; Termination
7.1
Should you wish to cancel your subscription, please let us know in advance of your renewal date by contacting us at support@alwayz.us or using any self-service tools in your account settings. You must cancel your subscription before it renews in order to avoid billing of subscription fees for the renewal term to your payment method. We reserve the right to issue refunds at our sole discretion. If we provide a refund, we are not obligated to do so again in the future.
7.2
Alwayz may terminate your use of the Services or any of our features if we discontinue the Services. Alwayz may also, in its sole discretion, without prior notice and to the extent applicable, suspend or terminate your access to the Services and/or block your future access to the Services if we determine that you have violated these Terms of Use (including for non-payment of fees) or other agreements or guidelines which may be associated with your use of the Services. You also agree that any violation by you of these Terms of Use will cause irreparable harm to Alwayz for which monetary damages would be inadequate, and you consent to Alwayz obtaining any injunctive or equitable relief that Alwayz deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Alwayz may have at law or in equity.
7.3
With respect to any termination or cancellation of this Agreement, you shall remain responsible for any fees, costs or expenses incurred prior to termination of this Agreement. Additionally, you shall be responsible for, and you agree to pay, any legal fees, court costs or expenses associated with enforcing the terms of this Agreement, whether upon termination or otherwise.
7.4
The provisions of this Agreement concerning Services security, prohibited activities, copyrights, trademarks, Submissions, disclaimers, limitation of liability, resolution of disputes, indemnity and jurisdictional issues shall survive any such termination or any other termination of this Agreement.
8. Risks; Disclaimers; Limitation of Liability
8.1
The Services are made available for the purposes described above. You agree that you assume the following risks: (i) There are risks associated with using Internet-based services, including, but not limited to, the risk of hardware, software and Internet connections and/or failures, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your account or elsewhere, and Alwayz will not be responsible for any of these, however caused; (ii) Upgrades to or changes in the Website or the Platform, or a change in how transactions are processed on the Platform, may have unintended, adverse effects; (iii) Alwayz does not make any promises or guarantees related to third party software, hardware or any other third parties related to your use of the Services; (iv) the risk of hacking, security weaknesses, fraud, counterfeiting, cyber attacks and other technological difficulties; (v) the risk of changes to the regulatory regime governing the Services, if any, and new regulations, unfavorable regulatory intervention in one or more jurisdictions or policies any of which may materially adversely affect the use and value of the Services; (vi) the risks related to taxation; and (vii) Alwayz is not responsible for, and shall have no liability in connection with, any transaction between you and a third party.
8.2
In addition to assuming all of the above risks, you acknowledge that you have obtained sufficient information to make an informed decision to use the Services and that you understand and agree that you are solely responsible for determining the nature, potential value, suitability and appropriateness of these risks for yourself. Alwayz cannot and does not represent or warrant that the Services, or their supporting systems or technology, are reliable, current or error-free, meets your requirements, or that defects in the Services, or their supporting systems or technology, will be corrected. Alwayz cannot and does not represent or warrant that the Platform or the Website or their delivery mechanisms are free of viruses or other harmful components. You accept and acknowledge that Alwayz will not be responsible for any user error (such as forgotten passwords, incorrectly constructed transactions, or mistyped addresses), communication failures, disruptions, errors, distortions or delays you may experience related to the Services.
8.3
THE SERVICES AND ALL CONTENT OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS, AS AVAILABLE." ALWAYZ HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW.
8.4
The above disclaimer applies to any damages, liability or injuries, whether for breach of contract, tort, negligence or any other cause of action.
8.5
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT AND UNDER NO LEGAL THEORY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT OR OTHERWISE, WILL DIGITAL VILLAGE OR ITS THIRD PARTY LICENSORS OR SUPPLIERS BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, EVEN IF ALWAYZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALWAYZ'S LIABILITY TO YOU FOR ANY DAMAGES (DIRECT OR OTHERWISE) OR PENALTIES OR LOSS, REGARDLESS OF THE FORM OF ACTION OR CLAIM, EXCEED $100. YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED. ACCORDINGLY, YOU AGREE TO WAIVE THE BENEFIT OF ANY LAW, INCLUDING, TO THE EXTENT APPLICABLE, CALIFORNIA CIVIL CODE SECTION 1542, THAT OTHERWISE MIGHT LIMIT YOUR WAIVER OF SUCH CLAIMS. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so these limitations may not apply to you.
9 Indemnity
You agree to indemnify and hold Alwayz, its subsidiaries, parent corporation and affiliates, and all of their respective officers, directors, owners, employees, agents, attorneys, licensors, representatives, licensees, and suppliers (collectively, the "Indemnified Parties" harmless from any demands, loss, liability, claims or expenses (including attorneys' fees), made against Alwayz by any third party (including any governmental or regulatory authority) due to or arising out of or in connection with: (a) your access to or use of the Services; (b) your violation of these Terms of Use or any applicable law or regulation; (c) your violation of any rights of any third party; or (d) any disputes or issues between you and any third party).
10 Governing Law; Dispute Resolution
You agree that all matters relating to your access to or use of the Services, including all disputes, will be governed by the laws of the State of Delaware excluding: (a) its conflicts of law principles; and (b) the United Nations Convention on Contracts for the International Sale of Goods, and any disputes, actions, claims or causes of action arising out of or in connection with these Terms of Use or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Boston, Massachusetts. The prevailing party in any dispute, whether or not suit is brought, shall be entitled to an award of its reasonable attorneys' fees actually incurred. YOU AGREE THAT NO CLASS ACTION MAY BE PURSUED OR MAINTAINED WITH RESPECT TO ANY DISPUTE REGARDING THESE TERMS OF USE OR USE OF THE SERVICES.
11. Users Outside of the United States.
11.1
While the Services may be accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Services are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. If you choose to access the Services from outside the United States, you do so on your own initiative, and you are solely responsible for complying with applicable local laws.
11.2
Canada. The parties declare that they have required that these Terms of Use and all documents related hereto, either present or future, be drawn up in the English language only. 12. Miscellaneous
12.1
The Services may contain Linked Sites, which are provided solely as a convenience to our users. Such Linked Sites are not under Alwayz's control, and Alwayz is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites.
12.2
You may preserve these Terms of Use in written form by printing it for your records, and you waive any other requirement that these Terms of Use be evidenced by a written document.
12.3
You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Services, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
12.4
All provisions of these Terms of Use are severable, and the unenforceability or invalidity of any of the provisions will not affect the enforceability or validity of the remaining provisions. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the invalid or unenforceable provision(s), with all other provisions remaining in full force and effect.
12.5
These Terms of Use, together with the Privacy Policy and any other legal notices published by Alwayz, [together with your Subscription Agreement] constitute the entire agreement between you and Alwayz with regard to your use of the Services. Alwayz reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time upon notice to you. Your continued use of the Services following the posting of changes indicates your agreement to and acceptance of the changes. If you do not agree with the modified terms, you may cancel your subscription. We last modified this Agreement on the date listed at the top of these Terms of Use.
12.6
Alwayz's failure to insist on or enforce strict performance of these Terms of Use shall not be deemed a waiver by Alwayz of any provision or any right it has to enforce these Terms of Use. Any such waiver must be in writing in order to be effective. Except as expressly set forth herein, these Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.
12.7
This Agreement is binding on the parties hereto and their respective successors and permitted assigns. You may not assign this Agreement without the prior written consent of Alwayz. Any assignment in violation of this section is void.
12.8
Alwayz's failure to perform any term or condition of this Agreement as a result of conditions beyond its control, including but not limited to, acts of God, war, strikes, fires, floods, governmental restrictions, power failures, pandemics or damage or destruction of any network facilities or servers, shall not be deemed a breach of this Agreement. In the event that Alwayz is not able to provide Services during such event, during such period your obligation to pay for the Services shall be suspended.
12.9
No text or information set forth on any other purchase order, preprinted form or document shall add to or vary the terms and conditions of this Agreement.
12.10
The parties are independent contractors. No joint venture, partnership, employment, or agency relationship exists between you and Alwayz as a result of this Agreement or use of the Services.
12.11
Notice for California User. Under California Civil Code Section 1789.3, California website users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N.
